MEMBERSHIP PROVISIONS AND PROCEDURES:
These are some extracts from the adopted Bylaws pertaining to the rights and duties of the members of the Foundation Khadimou Rassoul-North America.
1. Determination and Rights of Members:
The Foundation have only one(1) class of members. No member shall hold more than one membership. No member must transfer a membership or any right arising therefrom. All rights of membership cease upon the members death or resignation.
2. Voting Rights:
Each member is entitled to one vote on each matter or motion submitted to vote. Voting at duly held meetings shall be by voice vote. Election of directors, however, shall be by written and secret ballot.
3. Quorum for Meetings:
A quorum shall consist of the two-third(2/3) of the voting members. No business shall be considered by the members at any meeting without the quorum and the only motion which the Chair shall entertain at such meeting is a motion to adjourn.
4. Majority Action as Membership Action:
Every act or decision done or made by a majority of voting members present in person or by proxy at a duly held meeting at which a quorum is present is the act of the members.
5. Fees and Dues:
The members are to pay a monthly fee through a process as follows:
-fees are due the third Sunday of each month or at any monthly meeting;
-the amount is thirty dollars ( $30) ;
-application fees for new or renewal membership: $5.
6. Membership Qualifications:
The qualifications are set as follows:
-to be at least eighteen years old;
-to file out a membership application and be accepted, meaning to be recognized as sharing the purposes, missions and objectives of the Foundation;
-to be in good standing with the payment of the fees and dues;
-to be in accordance with any further requirements of the Foundation as set forth in the bylaws.
